These Terms of Service ("Terms") govern your access to and use of BespokeVM — the web application and website at bespokevm.com (the "Service"), provided by Techne Arete ("Techne Arete," "we," "us," or "our"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.

1. The Service
BespokeVM is an operations platform for hospitality operators and the vendors who serve them, including messaging, task, and audit tools. We may update, improve, or modify the Service over time. We may also add or remove features, and we will use reasonable efforts to avoid materially degrading core functionality for active paid customers without notice.
2. Accounts & eligibility
You must provide accurate account information and keep it current. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must be at least 18 years old to use the Service. Notify us promptly of any unauthorized use.
3. Acceptable use
You agree not to:
- Use the Service in violation of any law or regulation;
- Upload or transmit unlawful, infringing, or harmful content;
- Send unsolicited or unauthorized messages, or use the messaging features for marketing or spam;
- Attempt to gain unauthorized access to the Service, other accounts, or our systems;
- Reverse-engineer, copy, or resell the Service except as permitted by law;
- Interfere with or disrupt the integrity or performance of the Service; or
- Use the Service to build a competing product.
4. Customer data & ownership
You own your data. As between you and us, you retain all rights to the content and data you submit to the Service ("Customer Data"). You grant us a limited, non-exclusive license to host, process, and use Customer Data solely to provide and support the Service, and as otherwise described in our Privacy Policy.
You are responsible for your Customer Data, including having the rights and any necessary consents to submit it (for example, consent to text a person's mobile number).
5. Text messaging
The Service may send service-related text messages (such as secure sign-in links and task or audit notifications) to phone numbers provided by you or your users. By providing a mobile number, the recipient consents to receive these messages. Message frequency varies; message and data rates may apply. Recipients can reply STOP to opt out or HELP for help.
You are responsible for ensuring you have the right to send messages to the numbers you add, and for complying with applicable messaging laws (including the TCPA). We do not use phone numbers or messaging consent for third-party marketing. See our Privacy Policy for details.
6. Fees & billing
Access to paid features is billed according to the plan or order you agree to, processed through our payment provider (Stripe). Unless stated otherwise in an order or plan: fees are billed in advance, are non-refundable except where required by law, and paid subscriptions renew automatically for successive terms until cancelled. We will give reasonable notice before any price change. You are responsible for applicable taxes. If your account is on a free or pilot plan, we may modify or discontinue it at any time.
7. Third-party services
The Service integrates with third-party providers (such as Google, Microsoft, Twilio, and Stripe). Your use of those services is governed by their own terms and privacy policies, and we are not responsible for third-party services.
8. Our intellectual property
The Service, including its software, design, and content (excluding Customer Data), is owned by Techne Arete and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to access and use the Service during your subscription, subject to these Terms. All rights not expressly granted are reserved. If you send us feedback or suggestions, we may use them without obligation to you.
9. Term, termination & data return
These Terms apply while you use the Service. Either party may terminate for material breach that remains uncured after reasonable notice. You may stop using the Service and close your account at any time. We may suspend or terminate access if you violate these Terms or to protect the Service.
On termination, your right to use the Service ends. You may request an export of your Customer Data within 30 days after termination, after which we will delete or de-identify Customer Data in accordance with our Privacy Policy and applicable retention obligations.
10. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
11. Limitation of liability
To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising out of or related to the Service. Our total liability arising out of or related to these Terms will not exceed the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim (or, if you are on a free plan, US $100).
12. Indemnification
You will defend and indemnify us against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms, or your violation of law, except to the extent caused by our own breach of these Terms.
13. Governing law & disputes
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. The exclusive venue for any dispute will be the state and federal courts located in San Francisco County, California, and each party consents to personal jurisdiction there. Before filing a claim, the parties agree to attempt to resolve the dispute informally by contacting each other in good faith.
14. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date and, where appropriate, notify you through the Service. Your continued use of the Service after an update means you accept the revised Terms.
